The Foundation Het Governance Platform has decided to put its operations on hold as from 31 December 2011.
Since April 2005, eight Dutch large leading institutional investors, accompanied and represented by Deminor, have been active through The Governance Platform with engaging with listed companies in the Netherlands as well as in Europe.
These eight members manifested themselves as a solid professional discussion partners for listed companies. Through the Governance Platform, the participants encouraged companies to enhance their corporate governance, environmental and social practices in a structured, continuous and qualitative manner. The participants believed that through this dialogue the risk of unexpected issues can be reduced.
The engaged companies have recognized The Governance Platform as a professional and constructive discussion partner. As a result of all this dialogue, a number of improvements were undoubtedly observed at many listed companies during the years of operations.
Nevertheless, conducting a dialogue and engagement have become more and more common practice for institutional investors and companies. The largest members of The Governance Platform have their own teams which engage directly with companies, either alone, or together with other institutional investors, whether or not in the context of the Dutch investors association Eumedion. The institutional members of The Governance Platform which do not have their own teams in this field, are currently analyzing possible collaboration with or membership of other platforms to maintain a sufficient scale of operations. Following this trend, the participants decided to put the activities of the Governance Platform on hold, as from December 31, 2011.
The Supervisory Board of the Governance Platform would like to thank Deminor's management and engagement team for the way they conducted the research and engagement activities since 2005, and for their contribution to the development of "best practices" in the field of corporate governance and ESG.
Deminor will continue independently its activities in the area of shareholder rights, corporate governance and CSR research and engagement, offering its services to the benefit of institutional investors on an individual basis, and not anymore through an exclusive partnership with the Governance Platform.
